Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Revive Mental Health and Wellness services, LLC. (RMHWS) through the websites located at revivemhws.com and other related websites, webbased applications and mobile applications (collectively, the “Site”), as well as affiliated services provided, including personal health care services, provided by RMHWS, LLC. and RMHWS Professionals (collectively, “RMHWS”, “we”, “us”, and the “Services”).

Please read these Terms carefully before using the Site or the Services. By accessing or using the Site, you agree to be bound by these Terms.

Healthcare Services RMHWS, LLC. is an administrative services entity that is affiliated with and provides administrative services to the state/region specific clinical care providers (“RMHWS Professionals”), which operate under a variety of business structures according to the laws of the various states/regions in which RMHWS Professionals provide health care and related services. You agree that these Terms govern your access to and use of the Site and the Services offered by RMHWS, LLC. and RMHWS Professionals. If you use medical services provided by RMHWS Professionals, you understand and agree that you are bound by and subject to the Healthcare Services Consent. Please read the Healthcare Services Consent carefully before electing to utilize the services of a RMHWS. Please refer to our Privacy Policy and RMHWS Professionals’ Notice of Privacy Practices to learn how we use, share, and protect your personal information and protected health information. Updates to the Terms We may modify these Terms from time to time.

We will notify you of material changes by posting the amended terms on our website and the mobile application(s) at least fifteen (15) days before the effective date of the changes. If we have your email on file, we may also notify you of material changes to the Terms by email at least fifteen (15) days before the effective date of the changes. Please make sure we have your current email address so that you will receive notice of any material changes. If you do not agree with the proposed changes, you agree to discontinue your use of the Site before the effective date of the changes. If you continue using the Site after the effective date, you will be bound by the updated Terms.

Although not available at this time for account Registration and Security.  You may use the Site only for your own personal, non-commercial use when available. If you are accepting these Terms for another person (“Family Member”) as such Family Member’s lawful authorized parent, guardian, conservator, or custodian, you agree to the terms, conditions, and notices contained or referenced herein on behalf of such Family Member. If you are registering on behalf of your Family Member, your Family Member may only use the Site for their own personal, noncommercial use. To access certain features of the Site or to become a member, you will have to create an account by entering your name, address and certain other information collected by RMHWS (collectively, “Account Information”). It is important that you provide us with accurate and complete Account Information and update as needed. You are responsible for protecting your account username and password, and for all activities that occur under your account. You should immediately notify us of any unauthorized use of your account and if any information you provide relating to your account becomes inaccurate, incomplete or otherwise false or misleading. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. We will not be responsible for any loss or damage if you do not protect your account or your personal information. Service Use Termination You may terminate these Terms by ceasing to access and use the Site. We may terminate your use of the Site at any time by sending notice to you at the address or email you provided or otherwise contacting you or posting a notice on the Site. If we terminate your use of the Site because you have breached these Terms or any other agreement you have entered into with us, you will not be entitled to any refunds of services provided. We are not required to provide you with notice prior to terminating your use of the Site or a reason for such termination. In order to protect the integrity of the Site, we may, at any time in our sole discretion, block users from certain IP addresses from accessing the Site.

Use of the Services Subject to your compliance with these Terms, we grant you a limited, non-exclusive, nontransferable, non-sublicensable license to use the Site solely for your personal and non-commercial purposes. Your use of the Site must be in accordance with all applicable laws. You acknowledge that you do not acquire any ownership rights in the Site. The following is a list of the type of actions that you may not engage in with respect to the Site or Services:

● You will not promote, encourage, or engage in defamatory, abusive, libelous, obscene, threatening, harassing, hateful or otherwise objectionable behavior.
● You will not use any robot, spider, site search/retrieval application, or other manual or automatic device or process to download, access, retrieve, index, "data mine", or in any way reproduce or circumvent, avoid, bypass, remove, or deactivate the navigational structure or technical measures or presentation of the Services or its contents;
● You will not interfere, access, tamper with or disrupt the Site or the servers or networks connected to the Services;
● You will not attempt to probe, scan or test the vulnerability of the Site or any of our systems or network or breach any security or authentication measures; ● You will not use any meta tags or other hidden text or metadata utilizing our trademarks, logos, URLs or product names without our express written consent;
● You will not use the Site or content, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms;
● You will not post, distribute, or reproduce in any way any content that infringes third party intellectual property rights or violates third party rights of privacy or rights of publicity;
● You will not use, display, "frame" or "mirror" any part of the Site, our names, any of our trademarks, logos or other proprietary information, or the layout and design of any page or form contained on a page, without prior written authorization from us;
● You will not collect or store any personal information, including personally identifiable information, from users without their express permission;
● You will not provide any inaccurate, incomplete, false or misleading information, including regarding your identity or medical condition, when using the Site;
● You will not record in any way the Site and/or the Services without our express written consent;
● You will not allow any other person to use your account, username or password to access the Site, unless otherwise permitted herein; and
● You will not assist or permit any person to engage in any of the activities described in this Section - Children. The Site and the Services are not intended for children. If you are under 18 years of age, please do not use or access the Site at any time or in any manner. By using the Site, you affirm that you are over the age of 18. RMHWS does not seek through the Site to gather personal information from or about persons under the age of 18.

Consent to Electronic Communications: You agree that we may send the following to you by email or by posting them on the Site: legal disclosures; these Terms; Privacy Policy; future changes to any of the foregoing; and other notices, policies, communications or disclosures and information related to the Services. You agree that we may contact you via email, phone, text, or mail regarding prospective Services. Text messages and emails are not always secure because they travel over networks that we do not own or control. You consent to receive such communications electronically. You agree to update your contact information to ensure accuracy. Your consent to conduct actions electronically covers all interactions between you and RMHWS. You may opt out of certain types of electronic communications through your account or by following the unsubscribe instructions in any communication you receive from RMHWS. Your withdrawal of consent will be effective within a reasonable time after we receive notice of your withdrawal. We will need to send you certain communications electronically regarding the Services. You will not be able to opt out of those communications – e.g., communications regarding updates to the Terms or information about billing. Your withdrawal of consent will not affect the legal validity or enforceability of the Terms provided to and accepted by you. If you withdraw your consent to receive communications electronically, certain Services may become unavailable to you. Intellectual Property Rights RMHWS and our licensors retain all ownership rights, title and interest (including all intellectual property rights) worldwide to the Site and the Services, including to all software and content. No rights are granted to you other than as expressly set forth in these Terms. All trademarks, service marks and trade names are owned by RMHWS or other respective owners. DMCA Notice The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials appearing on the Site infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. In addition, if you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send us a counter-notice. Notices and counter-notices must meet statutory requirements imposed by the DMCA. In accordance with the DMCA, RMHWS has designated an agent to receive notification of alleged copyright infringement in accordance with the DMCA. Links to Third Party Websites The Site may contain links to other sites that are owned and operated by third parties. We are not responsible for the privacy and security practices or the content, advertising, products, services or other materials made available on or through any such linked sites. We provide these links to you only as a convenience, and the inclusion of any link does not imply endorsement of any kind by us. No Endorsements Reference to any product, recording, event, process, publication, service, or offering of any third party by name, trade name, trademark, service mark, company name or otherwise does not constitute or imply the endorsement or recommendation of such by Grow Therapy. Geographic Restrictions RMHWS makes no representation that all products, services and/or material described on the Site, or the Services available through the Site, are appropriate or available for use in locations outside the United States or all states and territories within the United States. No Warranty ACCESS TO THE SITE AND THE INFORMATION CONTAINED THEREIN IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RMHWS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE GREATER OF (1) $200 OR (2) THE FEES PAID TO USE THE RELEVANT SERVICES IN THE 12 MONTHS BEFORE THE DISPUTE. Indemnity To the extent allowed by applicable law, you will indemnify RMHWS and its directors, officers, employees, and contractors for any third-party legal proceedings (including actions by government authorities) arising out of or relating to your unlawful use of the Services or violation of these Terms. This indemnity covers any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees. Choice of Law and Jurisdiction These Terms are governed by the laws of Delaware. The parties irrevocably submit to the exclusive jurisdiction of the courts of the State of Delaware in respect of all matters and disputes arising hereunder and waive any defense of lack of personal jurisdiction in that jurisdiction. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

General Provisions These Terms make up the entire agreement relating to your use of the Services and supersede all prior agreements relating to the subject matter hereof. We may change, suspend, or discontinue any of the Services at any time. We will not be liable to you or to any third party for any modification, suspension or discontinuance of the Site. These Terms do not confer any third-party beneficiary rights. You may not transfer any of your rights or obligations under these Terms to anyone else without our consent. RMHWS may assign our rights in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. No delay or omission by RMHWS to exercise any right or power it has under these Terms shall impair any such right or power or be construed as a waiver of any succeeding breach. Any waivers by RMHWS must be in writing and signed by an authorized representative of RMHWS. This electronic document, and all other electronic documents referred to or incorporated herein, will be: (a) deemed for all purposes to be a “writing” or “in writing”, and to comply with all statutory, contractual, and other legal requirements for a writing; and (b) legally enforceable as a signed agreement.

A printed version of these Terms and any notice given in electronic form shall be admissible in judicial proceedings or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. We appreciate your feedback, suggestions, and other communications (collectively, “Feedback”) about the Site and the Services. You should know that we can, but are not obligated to, use your Feedback without restriction or any obligation to compensate you, and aside from the laws governing the confidentiality of healthcare information, we have no obligation to keep them confidential. Even after termination, these Terms will remain in effect such that all terms that by their nature may survive termination will be deemed to survive such termination. Effective 08/01/2023 This Notice of Privacy Practices (the “Notice”) describes how Revive Mental Health and Wellness Services (RMHWS) and all members of its Affiliated Covered Entity (collectively, “RMHWS Professionals”, “we”, and “our”), operating with support from RMHWS, LLC. (collectively, “RMHWS”), may use and disclose your protected health information to carry out treatment, payment, or health care operations and for other purposes that are permitted or required by law, and how you can receive access to this information. An Affiliated Covered Entity is a group of health care providers under common ownership or control that designates itself as a single entity for purposes of compliance with the Health Insurance Portability and Accountability Act (“HIPAA”). The members of the RMHWS Professionals Affiliated Covered Entity share protected health information with each other for the treatment, payment, and health care operations of the RMHWS Professionals Affiliated Covered Entity and as permitted by HIPAA and this Notice. Please review this Notice carefully. Capitalized terms not defined herein shall have the respective meanings given to them in the RMHWS Terms of Service. How is patient privacy protected? We understand that information about you and your health is personal. By “health information,” we mean protected health information as defined under federal law (HIPAA, and its implementing regulations). This Notice does not apply to information that is not covered by HIPAA. Not only is it our legal obligation, but it is our business imperative to maintain the privacy and security of your health information. We continuously seek to safeguard your health information through administrative, physical, and technical means, and otherwise abide by applicable federal and state laws. We will let you know promptly if a breach occurs that may have compromised the privacy or security of your information.

What health information do we collect?

The health information that we collect or maintain may include:
• Your name, age, email address, username, password, and other registration information.
• Health information that you provide us, which may include information or records relating to your medical or health history, health status and laboratory testing results, diagnostic images, and other health related information.
• Health information about you prepared or obtained by the clinical professionals and support staff who provide clinical services through RMHWS such as medical and records, treatment and examination notes, remote monitoring data, and other health related information.
• Billing information that you provide us, such as credit card information, or that we receive from a health plan or other provider of healthcare benefits on your behalf. How do we use and disclose health information? We use and disclose your health information for the normal business activities that the law sees as falling in the categories of treatment, payment, and healthcare operations. Generally, we do not need your permission for these disclosures under applicable laws. Below we provide examples of those activities, although not every use or disclosure falling within each category is listed:
• Treatment – We keep a record of the health information you provide us. This record may include your test results, diagnoses, medications, your response to medications or other therapies, and information we learn about your medical condition through our services. We may disclose this information to other health professionals who are treating you so that other doctors, nurses, and entities such as laboratories can meet your healthcare needs.
• Payment – We document the services and supplies you receive when we are providing care to you so that you, your insurance company, or another third party can pay us. We may tell your health plan about upcoming treatment or services that require prior approval by your health plan.
• Health Care Operations – Health information is used to run our practice, improve the services we provide, to train staff, for business management, quality assessment and improvement, in and for communications about our health related products and services, and for customer service. For example, we may use your health information to review our treatment and services and to evaluate the performance of our staff in caring for you.

We may also use and disclose your health information to:
• Comply with federal, state or local laws that require disclosure.
• Assist in public health activities such as tracking diseases or medical devices.
• Inform authorities to protect victims of abuse or neglect.
• Comply with federal and state health oversight activities such as fraud investigations.
• Respond to law enforcement officials or to judicial orders, subpoenas or other processes.
• Inform coroners, medical examiners and funeral directors of information necessary for them to fulfill their duties.
• Facilitate organ and tissue donation or procurement.
• Conduct research following internal review protocols to ensure the balancing of privacy and research needs.
• Avert a serious threat to health or safety.
• Assist in specialized government functions such as national security, intelligence and protective services.
• Inform military and veteran authorities if you are an armed forces member (active or reserve).
• Inform a correctional institution if you are an inmate.
• Inform workers’ compensation carriers or your employer if you are injured at work.
• Recommend treatment alternatives.
• Tell you about health-related products and services.
• Communicate within our organization for treatment, payment, or healthcare operations.
• Communicate with other providers, health plans, or their related entities for their treatment or payment activities, or health care operations activities relating to quality assessment and improvement, care coordination and the qualifications and training of healthcare professionals.
• Provide information to other third parties with whom we do business, such as a record storage provider. However, you should know that in these situations, we require third parties to provide us with assurances that they will safeguard your information.
• We may also use or disclose your personal or health information for operational purposes. For example, we may communicate with individuals involved in your care or payment for that care, such as family or guardians and send appointment reminders. All other uses and disclosures, not previously described, may only be done with your written authorization.

We will also obtain your authorization before we:
• Use or disclose your health information for marketing purposes; • Sell your information; or
• Share your psychotherapy notes (in most cases). You may revoke your authorization at any time; however, this will not affect prior uses and disclosures. In some cases, state law may require that we apply extra protections to some of your health information.


What are the Healthcare Professional’s Responsibilities? We are required by law to:
• Maintain the privacy and security of your health information.
• Provide a copy of this Notice of our duties and privacy practices.
• Abide by the terms of the Notice currently in effect.
• Promptly tell you if there has been a breach that may have compromised the privacy or security of your health information. We reserve the right to change this Notice and make the new practices effective for all the information we maintain. Revised notices will be posted on the Site. Do you have any Federal Rights? The law entitles you to:
• Inspect and copy certain portions of your health information. We may deny your request under limited circumstances. You may request that we provide your health records to you in an electronic format.
• Request amendment of your health information if you feel the health information is incorrect or incomplete. However, under certain circumstances we may deny your request.
• Receive an accounting of certain disclosures of your health information made for the prior six (6) years, although this excludes certain disclosures for treatment, payment, and health care operations. (Fees may apply to this request.)
• Request that we restrict how we use or disclose your health information. However, we are not required to agree with your requests, unless you request that we restrict information provided to a payor, the disclosure would be for the payor’s payment or healthcare operations, and you have paid for the health care services completely out of pocket.
• Request that we communicate with you at a specific telephone number or address.
• Obtain a paper copy of this notice even if you receive it electronically.
• Request that someone act for you, such as if you have given someone medical power of attorney or if someone is your legal guardian. We will confirm that the person has the authority and can act for you before taking any action.

File a complaint if you feel that we have violated your rights, as outlined in the “What if I have a complaint?” We may ask that you make some of these requests in writing. What if I have a complaint? If you believe that your privacy has been violated, you may file a complaint with us or with the Secretary of Health and Human Services in Washington, D.C.
